Disclosure notice

As a duly authorized customer or prospect referred under a referral agreement, I understand and acknowledge each of the following statements:

1. Kaleido Growth Inc. (hereinafter "Kaleido") and TERRY CAPITAL INC. (hereinafter "TERRY") have entered into a referral agreement, which provides that TERRY may refer clients or potential clients who are interested in Registered Education Savings Plans (hereinafter "RESPs") to Kaleido, in return for a referral fee.
2. Under this client referral agreement, the parties shall not exceed the limits of the following registration categories in which they are respectively registered with the regulatory authorities that govern them:

3. Kaleido is a scholarship plan dealer and investment fund manager. It cannot distribute or sell insurance products or offer financial services, unlike TERRY.
4. TERRY is a financial services firm registered with the Autorité des marchés financiers (Québec) which, among other things, offers and sells life and health insurance products to its clients (collectively, the "Insurance Products" and each, an "Insurance Product"). It cannot distribute scholarship plans, unlike Kaleido.
5. I understand that the referring party has no liability regarding the advice given and representations made by the party that receives the referral.
6. I understand that other representatives and registrants may provide comparable products that may meet my needs.
7. A referral fee will be paid by Kaleido to TERRY if I subscribe to an RESP offered by Kaleido.
8. This referral fee is $50 for each RESP agreement opened with Kaleido.
9. The client referral agreement creates a potential conflict of interest, since each party has a financial interest in it.
10. Despite the potential conflict of interest, the referring party shall fulfill its ethical and legal obligations by putting my interests ahead of its own financial interests.
11. I consent to TERRY sharing my contact information with Kaleido.
